General Information
On June 16, 2009, Building Materials Holding Corporation and all of its subsidiaries (collectively, "BMHC") filed voluntary petitions for relief under chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court"). BMHC has taken this action in order to implement, in an efficient and timely manner, a restructuring of the company's balance sheet.
BMHC, in consultation with certain members of its secured lender group, developed a restructuring plan that will significantly reduce its outstanding funded debt, substantially lower its annual interest expense, and create a new capital structure to better support its long-term business objectives. The terms of BHMC's restructuring plan are set forth in its Joint Plan of Reorganization (the "Plan") and accompanying Disclosure Statement.
On October 22, 2009, the Bankruptcy Court entered an order, approving, among other things, the Disclosure Statement and the procedures that governed the solicitation of acceptances of the Plan (the "Solicitation Procedures Order"). Pursuant to the Solicitation Procedures Order, BMHC's noticing agent mailed ballots to all known creditors entitled to vote on the Plan and directed creditors to return their completed ballots on or before November 25, 2009.
On December 17, 2009, after notice and a hearing, the Bankruptcy Court entered an order confirming the Plan (the "Confirmation Order"). The Plan, the Solicitation Procedures Order and the Confirmation Order can all be accessed by clicking here. Pursuant to the Plan and the Confirmation Order, the Plan's "Effective Date" is January 4, 2010.
